Terms of Use

1. Introduction and acceptance

These Terms of Use ("Terms") govern your access to and use of the website maturify.io and the Maturify platform and services (collectively, the "Services") operated by Maturify ("we", "us", "our"). By accessing or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

These Terms apply to all visitors, users, and others who access the Services, including representatives of legal entities who access the Services on behalf of their organisation. If you are accessing the Services on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

2. Description of services

Maturify provides an AI-powered ESG (Environmental, Social, and Governance) readiness platform designed to help technology companies and startups build, maintain, and demonstrate sustainability maturity across their growth journey. Our Services include but are not limited to: automated materiality analysis, ESG readiness scoring, AI-generated governance and policy documentation, regulatory compliance tracking, investor-readiness reporting, and commercial sustainability strategy tools.

The Services are intended for business use by companies, their employees, founders, and authorised representatives. The Services are not intended for use by private consumers in a personal capacity.

We reserve the right to modify, suspend, or discontinue any aspect of the Services at any time with reasonable notice where possible. We will not be liable to you or any third party for any such modification, suspension, or discontinuation.

3. Eligibility

To use our Services you must be at least 18 years of age and have the legal capacity to enter into binding contracts under applicable law. By using the Services you represent and warrant that you meet these requirements.

4. Account registration and security

Where account registration is required to access certain features of the Services, you agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You agree to notify us immediately at hello@maturify.io if you suspect any unauthorised access to or use of your account. We will not be liable for any loss or damage arising from your failure to comply with these obligations.

5. Permitted use

You may use the Services solely for lawful business purposes in accordance with these Terms and all applicable laws and regulations. You agree not to use the Services in any way that could damage, disable, overburden, or impair the Services or interfere with any other user's use of the Services.

6. Prohibited conduct

You must not, and must not attempt to: access or use the Services for any unlawful purpose or in violation of any applicable law or regulation; scrape, crawl, spider, or otherwise extract data from the Services by automated means without our prior written consent; reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code or underlying algorithms of any part of the Services; reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without our express written permission; upload or transmit any viruses, malware, or other malicious code; use the Services to infringe the intellectual property rights of any third party; impersonate any person or entity or misrepresent your affiliation with any person or entity; attempt to gain unauthorised access to any part of the Services or any system or network connected to the Services; interfere with or disrupt the integrity or performance of the Services; use the Services to transmit unsolicited commercial communications; circumvent any technical measures we use to provide or protect the Services.

7. Intellectual property

All content, features, and functionality of the Services — including but not limited to text, graphics, logos, icons, images, data compilations, software, AI models, algorithms, methodologies, scoring frameworks, report templates, and the selection and arrangement thereof — are owned by Maturify or its licensors and are protected by Swedish and international intellectual property laws including copyright, trademark, and trade secret laws.

The Maturify name, logo, and all related product and service names, design marks, and slogans are trademarks of Maturify. You may not use any of our trademarks without our prior written consent.

Nothing in these Terms grants you any right, title, or interest in the Services or any content therein except for the limited right to use the Services in accordance with these Terms.

8. User-generated content and data

You retain ownership of any data, content, or materials you submit to the Services ("User Content"). By submitting User Content you grant us a limited, non-exclusive, royalty-free licence to use, process, and store that content solely to the extent necessary to provide the Services to you.

You represent and warrant that you have all rights necessary to submit User Content and that such content does not violate any third-party rights or applicable law. We reserve the right to remove any User Content that we determine, in our sole discretion, violates these Terms or is otherwise objectionable.

9. AI-generated output and limitations

The Services use artificial intelligence to generate ESG documentation, analysis, scores, and recommendations ("AI Output"). You acknowledge and agree that: AI Output is generated automatically and may contain errors, inaccuracies, or omissions; AI Output is provided for informational and operational purposes only and does not constitute legal, regulatory, financial, or professional advice; you are solely responsible for reviewing, validating, and deciding whether to rely on any AI Output; Maturify does not warrant that AI Output is complete, accurate, current, or fit for any particular purpose; AI Output should not be submitted to regulators, investors, auditors, or other third parties without independent review and verification by qualified professionals.

Nothing in the Services or any AI Output constitutes legal advice or regulatory compliance assurance. Always consult qualified legal, financial, or sustainability professionals for compliance-critical matters.

10. Third-party services and links

The Services may contain links to third-party websites or services that are not owned or controlled by Maturify. We have no control over and assume no responsibility for the content, privacy policies, or practices of any third-party websites or services. We strongly advise you to read the terms and conditions and privacy policies of any third-party websites you visit.

We may integrate with or rely on third-party service providers to deliver certain aspects of the Services. We are not liable for any failure, interruption, or degradation of Services caused by third-party providers.

11. Fees and payment

Certain features of the Services may be made available on a subscription or fee basis. Where fees apply, pricing, billing cycles, and payment terms will be set out in a separate order form, subscription agreement, or on the relevant pricing page. All fees are exclusive of applicable taxes unless stated otherwise. We reserve the right to change our pricing at any time with reasonable notice.

12. Confidentiality

Each party agrees to keep confidential any non-public information disclosed by the other party in connection with the Services that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and circumstances of disclosure. Each party agrees to use the other party's confidential information solely to exercise its rights and fulfil its obligations under these Terms and to protect the confidentiality of such information using at least the same degree of care it uses to protect its own confidential information, but no less than reasonable care.

13. Data protection and privacy

Our collection and use of personal data in connection with the Services is governed by our Privacy Policy available at maturify.io/privacy.html. By using the Services you consent to such collection and use as set out in the Privacy Policy. We process personal data in accordance with the General Data Protection Regulation (EU) 2016/679 (GDPR) and applicable Swedish data protection legislation.

You agree to defend, indemnify, and hold harmless Maturify and its officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable legal fees) arising out of or relating to your violation of these Terms or your use of the Services, including but not limited to any User Content you submit, your violation of any third-party right, or your violation of any applicable law.

17. Force majeure

We will not be liable for any failure or delay in performance of our obligations under these Terms to the extent that such failure or delay is caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemic, war, terrorism, civil unrest, government action, power failure, internet disruption, or failure of third-party services.

18. Modifications to terms

We reserve the right to modify these Terms at any time. If we make material changes, we will provide notice by updating the date at the top of these Terms and, where appropriate, by notifying you by email or through the Services. Your continued use of the Services after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Services.

19. Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

20. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the breach, termination, or invalidity thereof shall be submitted to the exclusive jurisdiction of the Stockholm District Court (Stockholms tingsrätt) as the court of first instance, unless mandatory consumer protection legislation in your jurisdiction requires otherwise.

21. Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the provision.

22. Entire agreement

These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Maturify regarding your use of the Services and supersede all prior agreements and understandings, whether written or oral, relating to the subject matter hereof.
